STANDARD TERMS AND CONDITIONS OF SALE


Logixer LLC-FZ

  1. Precedence of Terms
    The client explicitly waives the application of its own standard terms and conditions, even if those were established after the present terms and conditions of sale. Any deviation from these terms shall only be valid if expressly agreed to in advance and in writing by Logixer LLC-FZ.
  2. Payment Terms
    All invoices issued by Logixer LLC-FZ are payable within fifteen (15) working days unless otherwise stated on the invoice or in the order confirmation. In the event of non-payment by the due date, Logixer LLC-FZ reserves the right to charge a fixed interest penalty of 10% on the outstanding amount. Logixer LLC-FZ also reserves the right to suspend the provision of any services without prior notice in the event of delayed payment.
  3. Debt Recovery
    If any payment remains outstanding more than sixty (60) days past its due date, Logixer LLC-FZ reserves the right to initiate recovery procedures through a debt collection agency. All associated legal and recovery costs shall be borne by the client.
  4. Withholding Tax
    If the client is located in a country where local laws require withholding tax on invoice amounts, the client shall be solely responsible for the payment of such taxes to the local tax authorities. Under no circumstances shall Logixer LLC-FZ be liable for or participate in any costs related to foreign tax legislation. The full invoice amount remains due and payable to Logixer LLC-FZ.
  5. Service Commitments
    Logixer LLC-FZ commits to delivering high-quality services within the agreed timeframes, using reasonable care and skill. However, none of the obligations undertaken by Logixer LLC-FZ shall be construed as a commitment to achieve specific results. Logixer LLC-FZ shall not, under any circumstances, be held liable by the client to act as a third party in any claim or legal action brought against the client by any third party or end user.
  6. Claims and Notifications
    Any claim by the client must be submitted in writing and sent by recorded delivery to the registered office of Logixer LLC-FZ within eight (8) days following the delivery of goods or completion of services. Claims submitted beyond this period will be considered inadmissible.
  7. Governing Law
    All contractual relationships and any disputes arising therefrom shall be governed exclusively by the laws applicable in the jurisdiction of Logixer LLC-FZ.
